  • This agreement ("Agreement") is entered into between the original author ("Author") and SMS Novel Films ("Service Provider") for the provision of script writing services to convert the Author's book into a script. The terms and conditions outlined below govern the rights, responsibilities, and obligations of both parties.

    • Service Description: 1.1 The Service Provider agrees to convert the Author's book into a script, adhering to the original content and intent of the book. 1.2 The Service Provider will deliver script drafts on a weekly basis, starting from the date the book is received. 1.3 The Service Provider will complete the script within 14 business days from the date the book is received.

    • Rights and Ownership: 2.1 All rights to the original book and its content shall remain with the Author. The Service Provider shall have no claim to the ownership of the book or its intellectual property. 2.2 The script produced by the Service Provider shall be considered a derivative work of the Author's book and shall remain the property of the Author. 2.3 The Author grants the Service Provider a non-exclusive, non-transferable license to use the book solely for the purpose of converting it into a script.

    • Payment: 3.1 The Author agrees to pay the Service Provider a total fee of $299.99 for the script writing service. 3.2 Payment shall be made in full before the commencement of the script writing service. 3.3 All payments shall be made in the currency agreed upon by both parties.

    • Confidentiality: 4.1 The Service Provider agrees to treat all information contained within the book as confidential and shall not disclose it to any third parties without the written consent of the Author. 4.2 The Author acknowledges that the script writing process may require sharing sensitive information about the book, and agrees to provide the necessary information for the conversion process.

    • Termination: 5.1 Either party may terminate this Agreement with written notice if the other party fails to fulfill its obligations under this Agreement. 5.2 In the event of termination, the Author shall be entitled to a refund of any unearned portion of the fee, calculated based on the work completed up to the termination date.

    • Limitation of Liability: 6.1 The Service Provider shall not be held liable for any damages, including but not limited to financial, consequential, or indirect damages, arising from the use or misuse of the script produced. 6.2 The Service Provider's liability shall be limited to the total fee paid by the Author for the script writing service.

    • Governing Law and Jurisdiction: 7.1 This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Service Provider is located. 7.2 Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts in the aforementioned jurisdiction.
